Terms for paid programming consulting engagements with SyncVertex Consulting.
Agreement
These terms apply when you engage SyncVertex Consulting (sole proprietorship of Sipho Dlamini) for programming consulting related to real-time application synchronisation.
Services
We provide technical assessments, advisory sessions, and scoped implementation work as described on the services page. Each engagement is governed by a written statement of work issued after inquiry. Fees and deliverables are only binding once you accept that statement in writing.
Client responsibilities
You provide timely access to systems, repositories, and stakeholders needed for the agreed scope. Delays in access may shift timelines without additional liability on our part.
Intellectual property
Unless otherwise agreed in writing, you retain ownership of your pre-existing materials. Deliverables created specifically for you under a paid implementation scope are assigned to you upon full payment for that scope. We may retain internal working notes that do not include your confidential source code.
Confidentiality
Both parties agree to protect confidential technical information shared during an engagement, except where disclosure is required by law.
Limitation of liability
To the extent permitted by South African law, our liability for any claim arising from consulting services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect or consequential loss.
Governing law
These terms are governed by the laws of the Republic of South Africa. Disputes are subject to the courts of South Africa.
